Terms of Service

By accessing, browsing, or using Rotor's platform, software, website, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Services.

Rotor offers Services directly and on behalf of its business customers. If you interact with communications, including SMS messages, powered by Rotor on behalf of one of those businesses, you agree to these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Acceptance of Terms

By creating an account, checking an acceptance box, or otherwise affirmatively indicating your agreement, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Account creation is conditioned on acceptance of these Terms - you may not use the Services without agreeing to them.

When these Terms are updated in a material way, we will notify you via email or an in-app prompt and require your re-acceptance before you may continue using the Services. Your continued use of the Services following notice of updated Terms constitutes acceptance of the revised Terms.

2. Accounts, Licenses, and Authorized Use

Each account is licensed to a single individual or business entity on a per-seat basis. You are solely responsible for all activity that occurs under your account, whether or not authorized by you.

  • Account credentials: Your credentials are personal and non-transferable. You may not share, sell, or disclose them to any third party. All activity under your account is your responsibility — notify us at support@getrotor.com immediately if you suspect unauthorized use.
  • Authorized users only: Only individuals authorized by the subscribing business may access the Services under that subscription. Unauthorized sharing of access is a violation of these Terms and may result in immediate termination.

3. Prohibited Uses

You agree that you will not, directly or indirectly, use the Services to:

  • Competitive intelligence: Access, observe, document, or analyze the Services for the purpose of developing, improving, or informing any competing product or service.
  • Benchmarking: Use the Services to benchmark, evaluate, or compare Rotor's features, workflows, user interface, or functionality against any other product or service without Rotor's prior written consent.
  • Reverse engineering: Decompile, disassemble, reverse engineer, or attempt to derive the source code, architecture, algorithms, or trade secrets embodied in the Services.
  • Scraping or automated access: Use bots, scrapers, crawlers, or automated tools to extract data, content, or interface information from the Services.
  • Commercial misuse: Use the Services - or any features, workflows, data, or information obtained through the Services - in any manner that: (i) competes with Rotor's business; (ii) replicates or informs the development of any competing product or service; or (iii) directly or indirectly benefits any person or entity developing, marketing, or improving a product or service that competes with Rotor, including by sharing access credentials, derived insights, or product information with employees, contractors, or agents of any such competing entity.

4. Intellectual Property

Rotor and its licensors own all right, title, and interest in and to the Services, including all software, designs, text, graphics, interfaces, and underlying technology. These Terms do not transfer any ownership rights to you. Your use of the Services grants no license to copy, reproduce, or build upon any part of the Services except as expressly permitted herein.

5. Use License

Permission is granted to access and use the Services for your own internal, non-competitive, lawful business purposes only. This is a limited, revocable, non-exclusive, non-transferable license. Under this license you may not:

  • Modify, copy, or create derivative works based on the Services or any materials therein.
  • Use the Services or any materials for any commercial purpose that competes with or harms Rotor.
  • Attempt to decompile, reverse engineer, or extract the source code of any software underlying the Services.
  • Remove, obscure, or alter any copyright, trademark, or proprietary notices.
  • Sublicense or resell access to the Services.

6. Data Accuracy and User Responsibility

Rotor is a platform that enables businesses to manage their operations, communications, and customer data. Rotor does not guarantee the accuracy, completeness, or correctness of any data you enter into the Services, including but not limited to tax calculations, pricing, timesheets, payment amounts, or customer records.

You agree that:

  • User-provided data: All business data entered into the Services is your responsibility. You must verify the accuracy of all data, including any customer-facing outputs such as invoices, quotes, or communications generated using your data.
  • Customer refunds and adjustments: You are solely responsible for any refunds, corrections, or adjustments owed to your customers arising from errors in your data or use of the Services.
  • Data accuracy warranty: You represent and warrant that all information you provide through the Services is truthful, accurate, and up to date, and that you will maintain accurate records.
  • Third-party personal data: Any customer or contact data you upload must be data for which you hold lawful permission to process. You are responsible for ensuring that any personal data you input about third parties complies with applicable privacy laws.

7. Communications Compliance (SMS and Email)

Rotor provides infrastructure that enables you to send communications to your contacts. You - not Rotor - are the "sender" of all communications for legal purposes. Rotor does not initiate, control, or endorse the content of any messages sent through the Services.

  • Prior express consent: You are solely responsible for ensuring that all contacts have provided appropriate prior express consent to receive SMS, email, or other automated messages, in compliance with all applicable laws including the TCPA, CAN-SPAM Act, TSR, and carrier regulations.
  • Opt-out compliance: You must honor all opt-out and unsubscribe requests promptly. Recipients may reply STOP to opt out of SMS communications.
  • Indemnification for violations: You agree to indemnify and hold Rotor harmless from any claims, fines, or penalties arising from your failure to obtain required consents or comply with applicable communications laws.
  • Platform role only: Rotor is not liable for the content, timing, deliverability, or legal compliance of any messages sent through the Services. Rotor is not responsible for third-party service failures or carrier restrictions.

8. Support and Maintenance

Support is available during normal business hours via our official support channels.

  • Official support channels: All support requests, bug reports, and feature requests must be submitted through the official support portal or via email to support@getrotor.com.
  • Response times: We do not guarantee immediate response times. Support is provided on a best-efforts basis during normal business hours (Monday–Friday, 8am-6pm MST/MDT). Requests submitted outside these hours will be addressed on the next business day.
  • Scheduled maintenance: We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance that temporarily interrupts access to the Services. We will provide advance notice of planned maintenance when reasonably practicable but are not required to do so.
  • No uptime guarantee: Unless separately agreed to in a written service level agreement, Rotor makes no guarantee of any specific uptime percentage or availability level.

9. Payment Processing and Fees

All fees for the Services are due in advance and are billed in USD unless otherwise stated.

  • Third-party payment processing: Payments are processed through Stripe, Inc. Your payment information is governed by Stripe's terms of service and privacy policy. Rotor does not store your full payment card details.
  • Non-refundable fees: Unless otherwise required by applicable law or separately agreed in writing, all fees paid to Rotor are non-refundable. This includes subscription fees for unused periods.
  • Customer refunds: If you collect payments from your own customers through the Services, you are solely responsible for issuing any refunds or handling any chargebacks with those customers. Rotor is not liable for any customer payment disputes arising from your use of the platform.
  • Pass-through charges: Certain third-party costs - including SMS usage fees, payment processing fees, or regulatory surcharges - may be passed through to you. Such costs will be disclosed at the time of the transaction or in your subscription plan details.
  • Price changes: Rotor reserves the right to change subscription fees or introduce new fees after notifying you.

10. Taxes

All fees listed are exclusive of any applicable taxes, levies, duties, or similar governmental assessments. You are responsible for paying all taxes associated with your purchase of the Services, including sales tax, VAT, GST, or other similar taxes depending on your location and applicable law.

11. Privacy, Data, and Cookies

Rotor's use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the collection and use of information as described in the Privacy Policy, including the use of cookies, analytics tools, and similar tracking technologies for service functionality and product improvement. We do not sell your personal information to third parties for advertising purposes. You may adjust cookie preferences through your browser settings, though doing so may affect certain features.

12. Data Storage and International Transfers

Rotor's Services are hosted and operated in the United States. By using the Services, you consent to the transfer of your data to and processing in the United States, where data protection laws may differ from those in your jurisdiction.

If you are located outside the United States, you are responsible for ensuring that your use of the Services and any transfer of personal data to the United States complies with the laws of your jurisdiction, including any obligations to notify your own customers or contacts of such transfers.

13. Accessibility

Rotor is committed to making the platform accessible to all users and works toward compliance with the ADA and WCAG accessibility guidelines. If you encounter accessibility barriers while using the Services, please contact us at support@getrotor.com so we can address them.

14. Disclaimer

The Services are provided on an "as is" and "as available" basis. Rotor makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement of intellectual property, or other violation of rights.

Rotor does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components, or that any errors will be corrected.

15. Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall Rotor or its officers, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages - including loss of profits, loss of data, loss of goodwill, or business interruption - arising out of or in connection with your use of or inability to use the Services, even if Rotor has been advised of the possibility of such damages.

Rotor's total cumulative liability to you for any claims arising under or related to these Terms or the Services shall not exceed the total fees paid by you to Rotor in the twelve (12) months immediately preceding the claim.

Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain types of damages. These limitations may not apply to you in those jurisdictions.

16. Indemnification

You agree to indemnify, defend, and hold harmless Rotor and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Services.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party rights, including intellectual property rights or privacy rights.
  • Any communications you send through the Services, including any failure to obtain required consents.
  • Any data you input into or generate through the Services.

17. Injunctive Relief

You acknowledge that any breach of Sections 3, 4, or 5 of these Terms would cause immediate and irreparable harm to Rotor for which monetary damages would be an inadequate remedy. Accordingly, Rotor shall be entitled to seek immediate injunctive relief, without the requirement of posting bond or proving actual damages, in addition to any other legal or equitable remedies available.

18. Monitoring and Enforcement

Rotor reserves the right, but not the obligation, to monitor use of the Services to ensure compliance with these Terms. You consent to such monitoring. Rotor may, at its sole discretion and without prior notice:

  • Suspend or terminate your account for any violation of these Terms.
  • Preserve and disclose your account information and activity logs to law enforcement or in connection with legal proceedings.
  • Pursue any and all legal remedies available, including injunctive relief, damages, and recovery of attorneys' fees.

19. Accuracy of Materials

Materials appearing within the Services may include technical, typographical, or other errors. Rotor does not warrant that such materials are accurate, complete, or current, and may make changes to them at any time without notice.

20. Links

Rotor has not reviewed all of the sites linked to our website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Rotor of the site. Use of any such linked website is at the user's own risk.

21. Modifications to These Terms

Rotor may revise these Terms at any time. For material changes, we will provide at least 30 days' advance notice via email or in-app notification and require your re-acceptance before you may continue using the Services. For non-material changes, continued use of the Services following posting of revised Terms constitutes acceptance.

22. Termination

Either party may terminate the agreement formed by these Terms at any time, subject to the conditions below.

  • Termination by Rotor: Rotor may suspend or terminate your access to the Services immediately, without prior notice, if you breach any provision of these Terms, engage in prohibited conduct, fail to pay applicable fees, or if Rotor reasonably believes your continued access poses a legal or operational risk.
  • Termination by you: Upon Cancellation, it takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period.
  • Effect of termination: Upon termination or expiration of your subscription, your right to access the Services ceases immediately. Rotor will deactivate your account and may delete your data in accordance with our data retention policy.
  • Data retention and export: Following cancellation or termination, Rotor will retain your account data for a minimum of ninety (90) days. During this period, you may request an export of your data by contacting support@getrotor.com. After the retention period expires, Rotor may permanently delete your data with no obligation to restore it.
  • Survival: Sections 3, 4, 5, 7, 10, 15, 16, 17, and 23 of these Terms, and any other provisions that by their nature should survive, will remain in effect after termination.

23. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States and you irrevocably submit to the exclusive jurisdiction of the courts in that state or location.
